Job Title: Head of Commercial Transactions & Litigations

Position Scope: The job holder will be responsible for providing legal support and advice to all Branches and various Business divisions at Head office in line with the Bank’s strategy.

Key Responsibilities:

  • Review of litigation files with the Legal & Remedial departments.
  • Receive, record Court process (Summons, Claims, Court Orders) and summarize case details for advocates and liaise with external advocates on documentation and witnesses required.
  • Instructing, review and management of the Bank’s Litigation cases (recovery suits and cases against the Bank) in conjunction with external counsel.
  • Assisting external lawyers in drawing up appropriate defenses in respect of major cases filed against the Bank and putting together all the evidence in support of such defenses.
  • Responding to demand letters addressed to the Bank by various claimants on matters ranging from negligence to breach of contract prior to filing of suits by the claimants.
  • Assisting Branches and Head Office in interpreting Court Orders served on the Bank to ensure compliance and/or where not in the best interest of the Bank, to guide them on how to contest them.
  • Reviewing of legacy cases in the NPL Portfolio for closure in conjunction with Credit Remedial Team.
  • Drawing legal documents e.g. discharge of charges, reconveyance of mortgages, memorandum of release of debenture and other legal documents such as sale agreements and different contracts between service providers and the Bank.
  • Liaise with user Divisions in formulation of contracts and facilitate drawing of new contracts as well as reviewing bank’s contracts prior to execution by the Bank.
  • Negotiate and prepare and facilitate execution of letters of offer and leases for new Branches in conjunction with our Premises Department for new branches on rented premises.
  • Communicate effectively with other branches and various Divisions at Head office by sharing legal advice in compliance with existing laws.
  • Rendering Advisory opinions to the Bank sought as well as on new matters affecting banking industry.
  • Harmonizing and streamlining process workflows in Legal.
  • Review of Bank standard documents and forms for new products to ensure compliance.
  • Facilitating debt recovery for defaulting cases.
  • Vetting fee notes raised by Advocates.
  • Guide Credit Division on securities to be taken by the Bank as per the existing credit policy.
  • Ensure that the Bank Complies and adheres to new and existing Laws.
  • Facilitate and supervise searches for foreign companies.
  • Handling all probate matters at Lower Court & High Court Registry Countrywide.
  • Evaluate regularly the effectiveness of the service providers to see that service level agreements executed with the bank are being observed and that goals are being attained.
  • Generate legal opinions and general advice to the Branches and various Divisions in head office on any matter.
  • Manage Legal Assistants, Clerks, Pupils & Interns posted to the Division.
  • Attest execution of documents by the Bank and its attorneys.
  • Provide training, coaching, development and motivation to bring out the best in each legal officer.
  • Represent the Bank/Division in permanent and ad hoc committees such as Kenya Banker’s Association sub-legal committee for industry related matters.
  • Handle pension related court matters.
  • Reviewing and analyzing emerging legal financial issues and legislation and advising on the same.

Skills & Experience:

  • Bachelor’s Degree in Law (LLB).
  • Master of Laws (LLM) will be an added advantage.
  • Advocate of the High Court of Kenya with a current practicing certificate.
  • Post Graduate Diploma in law from the Kenya School of Law.
  • Certified Public Secretary of Kenya (CPS (K) will be an added advantage.
  • Commissioner for Oaths and Notary Public.
  • 8-10 years post admission work experience, preferably in a Financial institution or a busy law firm acting for banks and financial institutions with at least 4-6 years’ in a senior management position.
  • Have appreciation and operating knowledge of the banking industry, market, trends as well as challenges.
  • Demonstrable cross-cultural, people and relationship management skills, networking and negotiation skills, team motivation and leadership competence.
  • Sound understanding of statutory and regulatory requirements of corporate governance, business and banking operations.
  • Nurturing Talent, Leading teams – capable of empowering and leading teams to deliver stretch targets.
  • Customer & Client Focused Innovation – able to meet the demands of internal and external customers.
  • Meaningful Collaboration – Ability to establish key partnerships and facilitate, influence, collaborate and establish accountability through all levels of the organization to help drive uptake of the Bank’s products and services.
  • Ability to prioritize, meet deadlines and work under pressure.
  • Knowledge of Court Rules and Procedures.
  • A good communicator with excellent presentation, legal research and analytical skills.
  • Ability to handle pressure and work with minimum or no supervision.
  • Legal Drafting skills.
  • Arbitration Skills in dispute resolution.
  • Management of Information systems skills.
